Please read these Terms and Conditions carefully before using our website or engaging Wilcolabs for any services. These terms govern your relationship with us and outline the rights and responsibilities of both parties.

1. Acceptance of Terms

By accessing or using the Wilcolabs website (wilcolabs.in) or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services. We reserve the right to update these terms at any time, and continued use of our services constitutes acceptance of any changes.

2. Services

Wilcolabs provides digital services including UI/UX design, custom website development, business automation, custom email systems, API integrations, and SEO & performance optimisation. The specific scope, deliverables, timeline, and pricing for each project are agreed upon in a separate written agreement or proposal before work begins.

3. Project Agreements & Payments

All projects require a signed proposal or statement of work prior to commencement. Unless otherwise agreed in writing, a deposit is required before work begins. Final deliverables are released upon receipt of full payment. We reserve the right to pause work on any project where payment obligations are not met. All quotes are valid for 30 days from the date of issue.

4. Intellectual Property & Ownership

Upon receipt of full and final payment, the client receives full ownership of all custom work produced for their project — including design files, source code, and content created specifically for them. Wilcolabs retains the right to display completed work in our portfolio unless the client requests otherwise in writing. Third-party assets (fonts, stock images, plugins, or libraries) remain subject to their respective licences.

5. Client Responsibilities

Clients are responsible for providing accurate and timely content, feedback, and approvals required to complete the project. Delays caused by the client may affect agreed timelines. The client warrants that any materials they provide (logos, images, text, data) do not infringe any third-party intellectual property rights.

6. Revisions & Change Requests

Each project proposal specifies the number of included revision rounds. Requests beyond the agreed scope will be quoted separately and billed at our standard hourly rate. Significant changes to project scope after work has commenced may require a revised proposal and adjusted timeline.

7. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the course of the project. Wilcolabs will not disclose client data, business processes, or proprietary information to third parties without prior written consent, except where required by law.

8. Limitation of Liability

Wilcolabs is not liable for any indirect, incidental, or consequential damages arising from the use of our services or deliverables. Our total liability in any circumstance is limited to the amount paid by the client for the specific service in question. We do not guarantee specific business outcomes such as search rankings, conversion rates, or revenue growth.

9. Warranties & Disclaimers

We warrant that all work will be completed with reasonable skill and care. We do not warrant that websites or software delivered will be entirely free from defects. We offer a 30-day bug-fix period after project delivery at no additional cost for issues arising from our own work. This warranty does not cover issues caused by third-party plugins, hosting environments, or client modifications.

10. Termination

Either party may terminate a project engagement with 14 days written notice. In the event of termination, the client is liable for payment of all work completed up to the termination date. Any deposit paid is non-refundable unless Wilcolabs is unable to commence the agreed work.

11. Governing Law

These Terms and Conditions are governed by the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts located in India.
